General terms and conditions of 22nd Avenue, owner Kevin Reinhardt, Eberhardstr. 13, 63450 Hanau, Germany (“22nd Avenue” or “we”). Part A applies to all services, Part B additionally to AI automation with your own CRM system and AI agents.
As of: 24 October 2026
Part A: General provisions
§ 1 Scope
- These terms apply to all contracts between 22nd Avenue and its customers (“customer”) for web design, online shops, design and branding, social media and videos, SEO and SEA, AI services and AI automation, and related consulting, support and maintenance.
- Our offers are aimed at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. If a consumer within the meaning of Section 13 BGB enters into a contract with us, these terms apply only insofar as mandatory consumer protection rules do not conflict. Statutory rights of withdrawal remain unaffected.
- Deviating or additional terms of the customer only apply if we expressly agree to them in text form.
§ 2 Enquiry, quote and conclusion of contract
- Enquiries via the forms on our website, by email, phone or WhatsApp are non-binding and free of charge.
- Our quotes are subject to change and valid for the period stated in the quote. Quotes for AI automation are created automatically by our system from the details entered in the form. They are based solely on these details; we may correct obvious typing and calculation errors.
- The contract is concluded when the customer accepts the quote in text form (e.g. by email) and we confirm the order or begin work.
§ 3 Scope of services and changes
- The type and scope of our services result from the quote or order confirmation.
- If the customer later wants changes or additional services, we state a fixed price in advance or agree on billing by time and effort. Deadlines shift accordingly.
- We may use suitable third parties (e.g. hosting, server, database, AI providers) where necessary for the service.
§ 4 Customer cooperation
- The customer provides content (texts, images, logos, product data), access and information on time and in full, and approves drafts promptly.
- The customer ensures that they hold the rights to the content they provide and that it does not infringe the rights of third parties. They indemnify us against third-party claims based on such content.
- If cooperation is delayed, agreed deadlines shift accordingly.
§ 5 Prices and payment
- Our prices are in euros plus statutory VAT, unless expressly stated as gross prices.
- The payment terms in the quote apply. If nothing is agreed there, invoices are payable within 14 days of the invoice date without deduction.
- Ongoing services (e.g. maintenance & support) are invoiced monthly in advance unless agreed otherwise.
- Costs that providers charge the customer directly (e.g. domain, hosting, server, database, AI usage, ad budget) are not included in our prices.
§ 6 Acceptance
- Once a work (e.g. website, online shop, CRM setup) is completed, we inform the customer. The customer checks it and declares acceptance.
- Acceptance is deemed declared if the customer does not report material defects in text form within 14 days of our notice or uses the work in their business (e.g. website goes live, working with the CRM). Minor defects do not entitle the customer to refuse acceptance.
§ 7 Rights of use and ownership
- Upon full payment, the customer receives the rights of use agreed in the quote for our work results, otherwise a simple, unlimited right of use for their own business.
- Websites, online shops and domains set up in the customer’s name belong to the customer.
- Third-party components (e.g. stock photos, fonts, themes, plugins, software libraries) are subject to their licence terms.
- We may name the project with the customer’s name and logo as a reference. The customer can object at any time in text form.
§ 8 Defects
- Statutory rights regarding defects apply, provided that we first remedy the defect or deliver again at our discretion.
- Faults caused by changes made by the customer or third parties, by updates or changes to third-party software, services or interfaces, or by use contrary to our instructions are not defects.
§ 9 Liability
- We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act.
- In cases of slight negligence, we are only liable for breach of an essential contractual obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In this case, liability is limited to the typical, foreseeable damage.
- For loss of data, we are only liable for the effort that would have been required to restore it had the customer backed up their data regularly, unless data backup is expressly part of our services.
§ 10 Ongoing contracts and termination
- The term and notice periods for ongoing services (e.g. maintenance & support, support, social media) result from the quote. If nothing is agreed, either party may terminate with one month’s notice to the end of a month in text form.
- The right to extraordinary termination for good cause remains unaffected.
§ 11 Data protection and confidentiality
- We process personal data in accordance with the law, in particular the GDPR. Details can be found in our privacy policy.
- Where we process personal data on behalf of the customer (e.g. in their CRM system), we conclude a data processing agreement pursuant to Art. 28 GDPR.
- Both parties treat the other party’s confidential information confidentially, also after the end of the contract.
§ 12 Final provisions
- The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Hanau.
- Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
Part B: AI automation with your own CRM system and AI agents
§ 13 Service
- We set up the customer’s own CRM system and connect the AI agents named in the quote to it. Depending on the quote, we transfer data from a previous CRM system or from files.
- If the customer wants their own AI agent described in the form, we discuss its scope and fixed price in the free initial consultation. This agent is only agreed with a separate quote.
- The service includes setup, an introduction and the aftercare named in the quote.
§ 14 Right to use the CRM program and your data
- The customer receives an unlimited, simple right to use the CRM program set up for them for their own business, without licence fees. Passing on, renting out or reselling the program to third parties is not permitted.
- The data in the CRM system belongs to the customer. They can export it at any time.
§ 15 Provider accounts and running costs
- The CRM system and AI agents run on the customer’s accounts with the respective providers (server, database, AI usage). The customer concludes the contracts with these providers themselves and pays their costs directly to them. We name the providers we use after the quote has been issued.
- Running costs depend on the providers’ prices. Server and database including daily backups currently cost approx. €45 per month. AI usage is billed by consumption and costs approx. €15–180 per month depending on the number of AI agents and usage. All amounts are non-binding estimates (gross).
- Providers may change their prices, services and terms. 22nd Avenue has no influence on this. Such changes are borne by the customer. 22nd Avenue does not bear any provider costs.
- A monthly spending limit for AI usage can be set with the provider. We set it up on request. Once the limit is reached, the AI agents stop working until the next month.
- 22nd Avenue only receives access to these accounts as an invited member with its own login, not with the customer’s credentials. If the cooperation ends, the customer can remove this access at any time. The CRM system continues to run on their accounts.
§ 16 Results of the AI agents
- The AI agents work automatically. Their results (e.g. texts, emails, research, classifications, reports) may be incomplete or incorrect. The customer checks important results before using them.
- Actions with external effect, for example sending emails, can be made subject to the customer’s approval. The customer decides on this setting.
- The customer is responsible for content they approve or have sent automatically, in particular for compliance with competition and data protection law. Advertising emails may only be sent with the prior consent of the recipients. AI phone agents identify themselves as AI.
- Each AI agent only receives the rights it needs for its tasks. Actions are recorded in the activity log of the CRM system.
§ 17 Maintenance & support
- The customer can add maintenance & support for €49 per month plus VAT. This includes updates, security and help with problems within the scope of the quote.
- Without a maintenance contract, the CRM system continues to run as delivered. Updates, security and adjustments to changes by providers or to third-party interfaces are then the customer’s responsibility. On request, we help on a time-and-effort basis.
§ 18 Availability and third-party services
- We do not owe any particular availability of the services of providers and third parties (e.g. server, AI providers, email inbox, calendar, advertising and social media platforms).
- If third parties change or discontinue their interfaces or terms, the CRM system or AI agents may need to be adjusted. With a maintenance contract, we do this within the scope of the quote, otherwise on a time-and-effort basis.
